If you’ve decided that a company structure best suits your situation, you’ll need to register your company with the Australian Securities and Investments Commission (ASIC). 

ASIC will assign you an Australian Company Number (ACN) when your company is registered.

Before you apply to register a company you’ll need to:

  • choose a company name
  • decide if the company will be governed by replaceable rules, a constitution, or a combination of both
  • get written consent from the people filling the roles of director, secretary, and shareholder/s, and
  • get written consent from the occupier of the registered office if your company doesn’t occupy that address, for example your accountant or solicitor.

When you’re ready to apply, you’ll need:

  • the Application for registration as an Australian company (Form 201) - PDF
  • address of the registered office and principal place of business (if not the same as the registered office)
  • full name, full residential address and date and place of birth for each officeholder
  • full name, address and number of shares for each member (shareholder), and
  • the application fee.

  2. Submit your form and payment by post to:

A public company must have a minimum of 3 directors (2 resident in Australia) and one secretary (resident in Australia).

A proprietary company must have a minimum of one director (resident in Australia). The office of secretary is optional, but if appointed they must reside in Australia.
